Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Sylion website, waitlist, and beta product (collectively, the “Service”), operated by Sylion Pty Ltd, an Australian company (“Sylion”, “we”, “us”, “our”).
By joining the waitlist, redeeming an invitation code, or using any part of the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 16 years old and capable of forming a binding contract under Australian law to use the Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Private beta
The Service is in active, early-stage development and is provided to a limited audience under invitation. By participating you understand and accept that:
- features may change, be added, removed, throttled, or broken without notice;
- we offer no service-level agreement, no uptime guarantee, and no commitment to backwards compatibility;
- outputs and behaviour may be inconsistent and should not be relied on for production, regulated, or high-stakes use;
- data you submit during the beta may need to be migrated, reset, or deleted as the product evolves.
We will give reasonable notice of changes that materially affect your use, but we are not obliged to.
3. Waitlist and invitations
Waitlist signup creates a record of your interest in Sylion but does not grant access to the beta product. We prioritise invitations at our discretion, including based on the information you provide and on referral activity (subject to verification measures we may apply from time to time).
Invitation codes are personal, single-use, and non-transferable. Sharing, selling, or attempting to brute-force codes is a material breach of these Terms and may result in revocation of access.
4. Referrals
You may share your referral link with others who would genuinely benefit from Sylion. You must not:
- create or coordinate fake signups to inflate your referral count;
- publish your referral link on spammy channels, deceptive promotions, or anywhere that violates the host platform's rules;
- misrepresent Sylion, the beta's features, or anyone's position on the waitlist.
We may discount, void, or reverse referral credit at our discretion if we suspect abuse.
5. Acceptable use
You agree not to:
- access the Service by automated means (bots, scrapers, unattended scripts) except through interfaces we expressly provide;
- reverse engineer, decompile, or attempt to derive the source code, models, prompts, or weights underlying the Service;
- interfere with, overload, or disrupt the Service or its infrastructure;
- use the Service to develop a competing product, to train a machine-learning model, or to benchmark against our outputs without our written permission;
- submit content that is unlawful, infringing, defamatory, harassing, or that violates another person's privacy or intellectual property;
- use the Service to generate output intended to deceive, impersonate, defraud, or harm any person.
6. Your content
You retain all rights in the content, prompts, and data you submit to the Service (“Your Content”). You grant Sylion a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display Your Content solely to operate, improve, secure, and support the Service. We will not sell Your Content or use it to train third-party foundation models.
You are solely responsible for Your Content and for ensuring you have the rights to submit it. You represent that Your Content does not violate any law or third-party right.
7. AI-generated output
The Service uses artificial intelligence to generate output based on your input. AI output is probabilistic and may be inaccurate, incomplete, biased, or otherwise unsuitable for your purpose. You must independently review and verify AI output before relying on it. Sylion makes no representation that AI output is fit for any particular purpose, and you must not use AI output for medical, legal, financial, safety-critical, or other high-stakes decisions without qualified human review.
You are responsible for how you use AI output, including any downstream distribution or publication. Where AI output incorporates third-party material, you are responsible for ensuring your use complies with applicable rights.
8. Our intellectual property
The Service, the Sylion name and logo, our software, models, prompts, design system, and documentation are owned by Sylion or our licensors and are protected by Australian and international intellectual property laws. Nothing in these Terms transfers any ownership in our intellectual property to you. Your right to use the Service is limited to the access we grant you and may be revoked.
9. Suspension and termination
We may suspend or terminate your access to the Service at any time, with or without notice, including (but not limited to) if you breach these Terms, if your continued use poses a risk to the Service or other users, or if we discontinue the beta. You may stop using the Service at any time. On termination, sections 6, 7, 8, 10, 11, 12, and 13 of these Terms survive.
10. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, secure, accurate, or error-free.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded.
11. Limitation of liability
To the maximum extent permitted by law, Sylion will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of the Service. Our total aggregate liability for any claim arising out of or relating to the Service is limited to the greater of (a) the amount you have paid us in the 12 months preceding the claim, or (b) AUD $100.
12. Indemnity
You agree to indemnify and hold Sylion harmless from any claim, loss, liability, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or Your Content.
13. Governing law
These Terms are governed by the laws of Victoria, Australia. You and Sylion submit to the exclusive jurisdiction of the courts of Victoria and the federal courts of Australia for any dispute arising out of or relating to these Terms.
14. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date reflects the most recent change. If a change materially affects your rights or obligations we will give reasonable notice (by email or in-product) before the change takes effect. Continued use of the Service after the change takes effect constitutes acceptance of the updated Terms.
